Agreement On Strategic Acquisition

A non-binding term sheet has been signed between Kuke Music and Naxos One Holding Limited, a limited liability corporation organized in accordance with British Virgin Islands legislation. The term sheet states that Kuke Music intends to purchase a majority interest in Angelina Assets Limited and HNH International Limited, two companies that are under the ownership of Naxos One.

These entities are the holding companies of Naxos Music Group, a leading global classical music brand and one of the largest distributors of independent classical record labels worldwide. A director of Kuke Music is also the controlling shareholder of Naxos One.

The signing of final agreements and the fulfillment of customary requirements, such as Kuke Music’s due diligence on Naxos Group, are prerequisites to the acquisition’s conclusion. The completion of the deal is not assured.

Partnership With China National Youth Palace Association

Kuke Music also recently established a strategic partnership with the China National Youth Palace Association. This collaboration aims to organize a series of educational events, including the “2024 National Youth Palace Choral Online Event,” choral conducting and music teacher training courses, and the Youth Palace Choral Arts Summer Camp.

These initiatives are designed to provide high-quality music and arts education services to youth. As the organizer and sponsor, Kuke Music will offer online platforms and technical support, such as developing a customized choral platform system featuring choral work uploads, platform management, scoring, and interactive functions for event participants.

Furthermore, Kuke will leverage its resources, including music education experts and copyrighted content, to provide online critiques and host the “Youth Palace Choral Cloud” series of live online master classes. Through this partnership, Kuke Music aims to better serve young classical music enthusiasts, enhancing their musical skills, broadening their perspectives, and improving their artistic expression and cultivation.
